Advisory opinion and second opinion

  • Tasks and Targets
    On behalf of a leading car manufacturer, CMN furnished an opinion on current requirements and changes in the field of international purchasing in China, realization of the prescribed local contents, custom clearance, transfer-pricing policy, design of the CKD processes as well as on planned changes of regulations in the field of local content.

    Result
    A comprehensive benchmark study with leading car manufacturers and components suppliers in China as well as with the local competitors and authorities led to recommendations on further strategic and operational steps and on the strategic focusing of the client.
  • Recommendations on the preparation and execution of the liquidation of a German-Chinese joint venture in trouble in the field of commercial vehicles, including risk analyses and alternative legal procedures and the related cost benchmarks.
  • Expertise on the take-over process of the shares of the Chinese joint venture partner, under special consideration of the related risks and opportunities in case of a share deal or asset deal.
  • Development of a sustainable strategic concept for the restructuring of a major group of companies in China.

Mediation and Troubleshooting

  • Mediation and conflict-management during sensitive contract negotiations and adjunctive with it solution of payment quarrels between the contractual parties.
  • Moderation of monthly meetings concerning the progress of construction work and the solution of acute problems and conflicts between the project parties.
  • Solution of problems in the operative cooperation between Chinese employees and an Expatriate-GM in a Joint Venture.
  • Support with the solving of an acute conflict situation within the production site of an international supplier to the automotive industry. The Chinese CEO was dismissed, because of financial irregularities. As a result, he influenced the complete top level management of a key factory, jointly to quit their jobs. Also, the operators had not been any more picked up by the company buses, resulting in few days stop of production. Consequently, one key OEM also had several hours stop of its complete production line and invoiced severe penalties. CMN hold intercultural specific talks with all managers, including management assessments. This resulted into calming down the conflict situation and all relevant mangers could be kept within the new structured company.

Coaching and Interim Management

  • Coaching of a board member, who in the headquarters is in charge of the development of a new operational and organizational structure in China.
  • Coaching the project leader of a medium-sized company setting up and managing the China-activities in the headquarters and on site in China. Preparing the new general manager for his executive functions in China.
  • Interim management in a newly established Wholly Foreign Owned Enterprise (WFOE) for six month until the new General Manager had been founded.

Lobying and Sponsoring

  • Supporting the European Union of Medium Sized Businesses with the organization and the handing over of the ?European Award of Medium Sized Businesses to the former Premier of the People¡¯s Republic of China Zhu Rongji ¡° by the German Chancellor at that time Gerhard Schr?der. CMN also facilitated the accompanying measures for the development and the realization of a respective sponsoring concept.

Product and Brand Naming

  • Advisory opinion on behalf of a renowned producer of electric appliances concerning its current Chinese company- and brand- name and linguistically as well as culturally profound search of an appropriate new company name. This search had been accompanied by an accordingly specialized Chinese professor of linguistics, who is part of the CMN network.

Mergers and Acquisitions

  • Co-operation project for the search of a Chinese or an international investor, who wanted to invest in a globally successful company with headquarters in Germany.
  • Extensive commercial pre-due diligence for the take-over of a leading Chinese vehicle manufacturer by an European truck manufacturer.
  • Enterprise evaluation and negotiation-support on an M&A deal in the electronic industry in China.
  • Cooperation with a leading European M&A firm in the preparation and implementation of an M&A project in the automotive industry, including target screening, pre-due diligence, evaluation and negotiation of the deal up to questions of integration of the target company.
