Restructuring-project for a German allied
company
Tasks and targets:
- New strategic overall concept for the organizational
structure covering all entities and activities in China
- Establishment
of a new China headquarters in order to direct the company’s
interests in China as a whole, comprising production, administration,
sales and service as well as the
control of all other entities in China.
- Developing an exit, respectively
a restructuring strategy, for an existing joint venture that
was in trouble and the merging
of an existing WFOE (Wholly Foreign Owned Entity) into a
new established WFOE head company that is optimized due to investment,
cost and strategic conditions.
- Due diligence investigation,
profound location analyses and respective contract negotiations
with the management
of several development zones, city governments, development
companies
for leasing of the workshop, general contractors for the
construction works, design institutes, banks, the office
for land use rights,
the environmental agency and diverse public utilities providers
on site.
- Negotiation of the conditions for setting up the
new company includes the frame contract for preferred investment
conditions
with the development zone, the related work of the incorporation
of the company including the required feasibility study
report, the articles of association and other commercial
and technical
requirements of the construction contract including the
bidding procedures. Our CMN experts, specialized on contracting
and
construction supervision, worked closely together with
a renowned international law firm and respective design institutes
for
the workshops in Germany and China.
- Supporting the formulation
of the feasibility study and the business plan as well as active
coaching with sensitive
HR issues such as personnel -search, -training, -development
and -retention. Furthermore, CMN took over all project
management tasks that were related to construction of the
workshop such
as monitoring the construction process, co-ordination
of all involved project partners etc. to ensure a cost- and
time-efficient
completion of the new factory under special consideration
of the required high quality standards.
Results
- Flanking lobbying work with authorities of
all hierarchical levels (city and province) ensured an optimal
project support as well as favorable conditions of investment
in the finally selected development zone close to Beijing.
- A detailed
analysis of the Chinese partner network with all its dependencies,
strengths and weaknesses up to the revealing
of the respective risks and the “skeletons in the closet” of
the Chinese counterparts backed up a minimizing of the disadvantages
and problems that often follow to the signing of the contract.
Those may appear in future co-operation and threaten the success
of a project.
- By the turnkey-support of the project including
the co-ordination of all involved extern and intern experts
and decision makers
CMN ensured - considering cost, time and conceptual aspects – optimal
and comprehensible project results.
